The commercial terms behind every quotation: what is fixed, what moves with metal and freight, and who owns the tool.
Prices are quoted FOB Shanghai unless the quotation says otherwise, in USD, and are valid for 30 days from the date of issue. The quotation states the metal price and exchange rate it was calculated at. If either moves beyond the tolerance stated on the quote before the order is placed, we will re-quote rather than quietly absorb it or quietly re-price the invoice.
Models can be combined to reach a total; a container is a container, whatever is inside it.
Tooling is quoted separately and is charged once. Tooling paid for by the buyer remains the buyer's property and can be collected or transferred at any time after the final invoice is settled. We do not re-use a buyer's tool, drawing or mould for anyone else, and we do not sell a buyer's private-label design to a third party.
Pre-production samples are charged at sample price plus freight. The sample cost is credited against the first production order above the MOQ.
Standard lead time is 28 days after sample approval and receipt of deposit, for stock models. New tooling adds 18–25 working days. Lead time runs from the later of: deposit received, golden sample signed, or artwork approved. Chinese New Year, National Day week and force majeure are excluded and will be flagged on the order confirmation.
Terms are stated on the proforma invoice. The usual arrangement for a first order is a deposit with the balance against the pre-shipment inspection report. We do not ask for the balance before you have seen the inspection result.
Inspection is to AQL 2.5 major / 4.0 minor unless the order states otherwise, and the inspection report is issued with the shipping documents. Claims for defects that would have been visible at inspection must be raised within 30 days of container arrival, with photos and the carton numbers. Claims for latent defects are accepted within 12 months of shipment.
Where a claim is accepted, we replace the affected pieces in the next production run or credit them — the choice is yours, not ours.
Our hardware is warranted against manufacturing defect for 12 months from shipment. The warranty does not cover wear parts consumed in normal service, overload beyond the stated safe working load, or modification by the buyer.
Drawings, CAD files and specifications you send remain yours. We use them only to quote and manufacture your order. Conversely, our catalogue designs, tooling geometry and process documentation remain ours; buying a catalogue part does not transfer the design.
Goods are supplied with the documentation stated on the quotation — typically material certificates, RoHS and REACH declarations, and CE documentation where applicable. It is the buyer's responsibility to confirm that the product and its marking meet the regulations of the destination market.
These terms are governed by the laws of the People's Republic of China. Disputes are referred to the Shanghai International Arbitration Centre. In practice, in thirteen years, we have settled every claim by email and a replacement shipment; the clause exists for the case that does not.
